By accessing or using Thesivest ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Thesivest.

2. Description of Service

Thesivest is an AI-powered investment research platform that enables users to document investment theses, conduct AI-assisted stock research, track trades, and share research with a community of investors.

Thesivest is NOT a financial advisor, broker-dealer, or registered investment advisor. The Service does not provide personalized financial advice, does not execute trades on your behalf, and does not recommend specific securities for purchase or sale. All content on the platform, including AI-generated research, is for informational and educational purposes only.

3. User Accounts & Responsibilities

You must be at least 13 years of age to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You are solely responsible for your own investment decisions. Thesivest does not verify the accuracy of user-submitted research, trade records, or performance claims.

4. User Content

You retain ownership of all content you create on Thesivest, including research posts, investment theses, comments, and trade records ("User Content"). By posting User Content on the Service, you grant Thesivest a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Service.

You represent and warrant that your User Content does not violate any third-party rights, does not constitute insider trading or market manipulation, and complies with all applicable securities laws and regulations.

5. Intellectual Property

The Service, including its design, features, code, branding, and proprietary technology, is owned by Thesivest and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without prior written consent.

6. AI-Generated Content Disclaimer

Thesivest uses artificial intelligence (powered by Google Gemini) to generate research summaries, analysis, and other content. AI-generated content may contain errors, inaccuracies, or outdated information. It should not be relied upon as the sole basis for any investment decision.

AI-generated content does not constitute financial advice, a recommendation to buy or sell any security, or an endorsement of any investment strategy. You should always conduct your own research and consult with a qualified financial advisor before making investment decisions.

7. Payment Terms

Thesivest offers a Pro subscription at $20 per month, billed through Stripe. By subscribing, you authorize recurring charges to your payment method. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods.

Thesivest reserves the right to modify pricing with 30 days advance notice to existing subscribers.

8. Prohibited Conduct

You agree not to:

• Use the Service to distribute insider information or engage in market manipulation
• Post false or misleading investment performance records
• Impersonate other users, financial professionals, or institutions
• Use automated systems to scrape, collect, or harvest data from the Service
• Attempt to gain unauthorized access to other accounts
• Use the Service for any unlawful purpose or in violation of applicable securities regulations
• Harass, threaten, or abuse other users of the platform
• Circumvent any security or access controls of the Service

9. Limitation of Liability

To the maximum extent permitted by law, Thesivest and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, investment losses, data loss, or other intangible losses arising out of or related to your use of the Service.

Thesivest's total liability for any claim arising under these Terms shall not exceed the amount you have paid to Thesivest in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Thesivest and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Thesivest reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, the Service, or third parties. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

13. Changes to Terms

Thesivest reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
